Introduction

These Terms and Conditions (“T&Cs”) set forth the obligations, rights, and responsibilities of affiliates (“Affiliate”) participating in the affiliate network managed by NEXTLVL VISION – FZCO (hereinafter “NXTLVL”). By registering, promoting campaigns, or otherwise engaging with the NXTLVL affiliate program, you (“Affiliate”) agree to comply fully with these T&Cs, the Code of Conduct, and any applicable laws.

1. Definitions

For the purpose of these T&Cs, the following terms shall have the meanings assigned below:

• NXTLVL: NEXTLVL VISION – FZCO, a limited liability company registered in the UAE, which operates the affiliate network.
• Affiliate: Any legal entity or individual registered on the NXTLVL network to promote campaigns for Advertisers in exchange for compensation.
• Advertiser: A business entity engaging NXTLVL to promote its products or services through the affiliate network.
• Campaign: A specific advertising or marketing initiative by an Advertiser, promoted by Affiliates.
• Conversion: A defined user action (e.g., purchase, registration) that generates revenue for an Advertiser as part of a campaign.
• Tracking Code: Unique code provided by NXTLVL to monitor campaign performance.
• Artificial Traffic: Fraudulent activities generating invalid traffic or conversions, such as bots, scripts, or other automated means.
• Medium: The Affiliate’s platform (e.g., website, social media channel, application) used to distribute advertisements.
• Service: The tracking, reporting, and promotional services provided by NXTLVL.

2. Acceptance and Applicability

2.1 By registering or participating in the NXTLVL affiliate program, the Affiliate agrees to be bound by these T&Cs.

2.2 These T&Cs govern all campaigns, communications, and activities between the Affiliate and NXTLVL, taking precedence over any conflicting terms proposed by the Affiliate.

2.3 Participation is conditional upon full compliance with these T&Cs, the Code of Conduct, and all applicable laws.

3. Scope of Services

3.1 NXTLVL’s Responsibilities

• Provide access to the Affiliate Portal, campaign materials, tracking codes, and reporting tools.
• Monitor and report campaign performance to Affiliates.
• Process payments for valid conversions in accordance with the terms set out herein.
• Maintain the integrity of the affiliate network by investigating and addressing fraudulent activities.

3.2 Affiliate Responsibilities

• Promote campaigns in accordance with NXTLVL’s guidelines, the Advertiser’s requirements, and applicable laws.
• Use only the tracking codes, materials, and links provided or approved by NXTLVL.
• Ensure campaigns comply with national, international, and local advertising regulations.
• Report any technical issues, irregularities, or suspected fraudulent activities promptly to NXTLVL.

3.3 Affiliates are solely responsible for the setup, maintenance, and legality of their Medium.

4. Prohibited Activities

Affiliates are strictly prohibited from:

1. Generating or facilitating Artificial Traffic through bots, scripts, or any automated means.
2. Modifying or tampering with tracking codes or campaign materials without explicit written consent.
3. Promoting campaigns through deceptive or unethical practices, including but not limited to:

• Misleading claims.
• Fake reviews or testimonials.
• Promises of rewards or incentives unrelated to the campaign.

1. Advertising on prohibited channels, including illegal websites, SPAM email lists, or platforms not approved by NXTLVL.

Violation of these prohibitions will result in immediate suspension, potential termination, and forfeiture of unpaid commissions.

5. Payment Terms

5.1 Eligibility for Payment

• Payments are based on verified, valid conversions that meet the campaign’s performance criteria.
• Payments will only be processed once the Affiliate’s balance exceeds EUR 1,000.

5.2 Payment Schedule

• Payments are processed within 15 days after the close of each calendar month.
• The payment currency, method, and frequency are determined by mutual agreement.

5.3 Payment Adjustments and Disputes

• Payments may be withheld if fraudulent or Artificial Traffic is detected.

6. Confidentiality

6.1 Affiliates must treat all NXTLVL campaign details, tracking information, and Advertiser data as confidential.

6.2 Confidential information must not be shared, disclosed, or used for purposes other than fulfilling obligations under these T&Cs.

6.3 Affiliates must delete all confidential data upon termination of their participation in the NXTLVL affiliate program.

7. Code of Conduct

Affiliates are required to adhere to the Code of Conduct at all times, including but not limited to:

• Ensuring all marketing practices are legal, ethical, and transparent.
• Complying with applicable data protection laws, including the UAE Cyber Crimes Law and GDPR.
• Responding to consumer complaints promptly and professionally.
• Avoiding SPAM practices in email or other promotional channels.

Failure to comply may result in penalties, including suspension or termination.

8. Termination

8.1 Either party may terminate this agreement with 72 hours’ written notice.

8.2 NXTLVL reserves the right to terminate the agreement immediately in cases of fraud, non-compliance, or violations of these T&Cs or the Code of Conduct.

8.3 Upon termination, Affiliates must:

• Cease all use of NXTLVL’s services, tracking codes, and materials.
• Remove all links, ads, and campaign assets from their Medium.

8.4 Commissions for conversions generated after the termination date will not be paid.

9. Dispute Resolution

9.1 All disputes arising under or related to these T&Cs shall be governed by the laws of the UAE.

9.2 Unresolved disputes will be referred to the competent courts of Dubai, UAE, for resolution.

10. Limitation of Liability

10.1 NXTLVL shall not be liable for:

• Losses resulting from technical failures, downtime, or Affiliate negligence.
• Fraudulent or invalid traffic generated by the Affiliate’s Medium.

10.2 Total liability for any claims shall not exceed EUR 5,000, except in cases of proven gross negligence or willful misconduct.

11. Amendments

NXTLVL reserves the right to update these T&Cs at any time. Affiliates will be notified of significant changes, and continued participation will be considered acceptance of the updated terms.
